Terms of use — Omniway learning platform

Introduction
These terms of use (the "Terms") govern the use of Omniway AB's learning platform (the "Service").
The Service is provided by Omniway AB (Reg. no. 556442–1328).
By using the Service, the user accepts these Terms.
Contract structure and applicability
The Service is provided to organisations ("Customer") under:
- Master agreement between Omniway and the Customer
- Statements of work (services, modules and add-ons)
- Data Processing Agreement (DPA)
These Terms supplement the agreements above.
In case of conflict, the following order applies:
- Statement of work
- Master agreement
- Data Processing Agreement (regarding personal data)
- These Terms of Use
Roles and responsibilities
Omniway (Provider)
Omniway provides:
- Platform functionality
- Operation, maintenance and technical security
- Support as agreed
Omniway is not responsible for:
- Content created or managed by the Customer or its users
- How the Service is used in the Customer's operations
The Customer (Organisation)
The Customer is responsible for:
- All use of the Service within its organisation
- User management and permissions
- Ensuring use complies with applicable law and contracts
- All content stored, shared or published in the Service
The Customer owns its data in the Service.
End users (e.g. students and participants)
End users access the Service via the Customer and are bound by these Terms.
End users and EULA
The Customer is responsible for ensuring that all end users, including students and participants:
- Are informed about and follow these Terms
- Where applicable, accept their own EULA (End User License Agreement) or equivalent
Any EULA the Customer applies is the Customer's responsibility.
The Customer is responsible for end users' use of the Service, including:
- their activities
- their content
- their compliance with laws and rules
Scope of the Service
The Service's content and functionality are defined in each statement of work, including:
- Activated modules
- Integrations
- Support levels
- Any add-on services
Permitted use
The Service may only be used for:
- Education-related purposes
- Administration tied to educational operations
- Communication within the Customer's operations
Prohibited use
The following is prohibited:
- Using the Service in violation of law or contract
- Distributing illegal, offensive or improper content
- Attempting unauthorized access to systems or data
- Disrupting or interfering with the Service's functionality
- Distributing malicious code or carrying out attacks
Data and personal data
The Customer owns all data stored in the Service.
Processing of personal data is governed by a separate Data Processing Agreement (DPA).
Omniway processes personal data only in accordance with the Customer's instructions and applicable law.
Security and logging
Omniway takes technical and organisational security measures to protect the Service.
Use of the Service may be logged for the purpose of:
- Ensuring operation and functionality
- Detecting and preventing incidents
- Meeting legal requirements
The Customer is responsible for informing its users about this where necessary.
Availability and changes
Omniway aims for high availability of the Service.
Omniway has the right to:
- Update and further develop the Service
- Carry out planned maintenance
- Temporarily restrict access when needed
Action on misuse
Omniway has the right, in accordance with the master agreement, to take action on breaches of these Terms, including to:
- Restrict access
- Suspend users
- Take technical or administrative measures
This applies regardless of whether the breach is committed by:
- The Customer's staff
- End users (e.g. students)
Limitation of liability
Liability, compensation and any limitations are governed by the applicable master agreement between Omniway and the Customer.
Changes to the Terms
Omniway has the right to update these Terms.
Updated Terms are published on Omniway's website.
